- [F1]Effective February 18, 2011, the Issuer entered into an employment agreement with Mr. Lai. Pursuant to the agreement, Mr. Lai's base salary is $190,000 per year, of which $150,000 is payable in cash and $40,000 is payable in shares of the Company's common stock in pro-rata, quarterly installments, each equal to $10,000 in aggregate value, on every May 18th, August 18th, November 18th and February 18th of each year during the term of the agreement. The shares described above equal one quarterly installment of shares issuable to Mr. Lai pursuant to the agreement.
