Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On August 7, 2025, Timothy Bliss, Alex Wolf, and Robert Donald Casey III (collectively, the “Resigning Directors”) resigned (the “Resignations”) from the Board of Directors of AppFolio, Inc. (“AppFolio” or the “Company”). The Resignations are intended solely to avoid the appearance of a potential conflict of interest with another professional opportunity that the Resigning Directors are pursuing together, in which the Resigning Directors will be significant shareholders in a company that is a customer of AppFolio. None of the Resignations is due to any disagreement with the Company or on any matter relating to its operations, policies or practices.
