Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain

Officers; Compensatory Arrangements of Certain Officers.

On July 22, 2025, Debra Coy notified Global Water Resources, Inc. (the “Company”) of her decision to retire from the Board of Directors of the Company (the “Board”) effective December 31, 2025. The decision by Ms. Coy to retire from the Board is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
