The Blackwater Midstream Corp. 2009 Non-Employee Directors' Stock Incentive Plan (the "2009 Plan"), through which these stock options were granted in December 2009, required approval by the Company's shareholders at the Company's next Annual Shareholders' Meeting-to be held in September 2010. At the Company's Annual Shareholders' Meeting held in September 2010, the Company's shareholders did not approve the 2009 Plan; therefore, the granting of these stock options was invalidated.
