ITEM 5.02 Resignation of Vice President of Finance and Principal Accounting Officer Charlotte Willson

On February 21, 2012, Charlotte Willson, requested a personal leave of absence from her role as Vice President, Finance and Administration of NeoMagic Corporation (the “Company”), and in accordance with the Company’s policies went on personal leave of absence.

Effective August 31, 2012, The Company decided not to extend Ms. Willson’s personal leave of absence.
