Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 19, 2016, the Board of Directors of Spire Corporation notified Rodger W. LaFavre that he was released as CEO and as an employee of Spire Corporation, effective August 26, 2016.

On August 20, 2016, Udo Henseler resigned from the Board of Directors of Spire Corporation, effective immediately.
