Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 19, 2017, Michael Shor resigned his position as a director of AG&E Holdings Inc. (the “Company,” “we” or “us”) effective February 1, 2018. Mr. Shor also served as the chair of the audit committee and was a member of our compensation committee and nominating & governance committee. Mr. Shor’s resignation was not a result of any disagreement with us over policies, practices, or procedures.
