Item 8.01 Other Events.

On May 1, 2019, Global Brass and Copper Holdings, Inc. (the “Company”) announced that, on April 30, 2019, its Board of Directors declared a quarterly cash dividend of $0.09 per share on the Company’s common stock for the first quarter of 2019. The dividend will be paid on May 22, 2019 to stockholders of record on the close of business on May 13, 2019.

A copy of the press release announcing the dividend is attached hereto as Exhibit 99.1 and incorporated herein by reference.
