Due to COVID-19, the issuer postponed the payment of the 2020 second quarter retainer to June 30, 2020, which would have been paid on April 1, 2020, and granted DSUs in lieu of cash. The DSUs equal the reporting person's second quarter retainer divided by the June 30, 2020 closing price of the issuer's common stock. Each DSU represents the issuer's obligation to transfer one share of the issuer's common stock, in accordance with the applicable DSU agreement. The DSUs were granted under the issuer's Non-Employee Director Equity Plan. Promptly following termination of the reporting person's service on the issuer's Board of Directors or at the reporting person's election of a specified distribution date, the issuer will distribute to the reporting person shares of the issuer's common stock equal to the number of DSUs granted.
