Item 8.01 Other Events.

In a press release issued on July 21, 2021, President James M. Gasior announced that in its meeting on July 20, 2021, the Board of Directors of Cortland Bancorp (the “Company”) has declared a dividend of $0.15. The dividend is payable on or after September 1, 2021 to shareholders of record as of August 9, 2021. The press release is included as Exhibit 99.1 to this current report on Form 8K.
