On April 18, 2022, in accordance with Section 8(a) of the Certificate of Designation of Preferences, Rights, and Limitations of the Series C Convertible Preferred Stock (the "Certificate of Designation"), the Issuer delivered to the Reporting Person written notice of the Mandatory Conversion (as defined in the Certificate of Designations) of all outstanding Series C Shares into an equivalent number of shares of the Company's common stock, par value $0.001, pursuant to and in accordance with the terms of the Certificate of Designation.
