Item 5.02.Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On March 11, 2025, Robert L. Dixon, Jr. notified the Nominating and Corporate Governance Committee of the Board of Directors (the “Board”) of Build-A-Bear Workshop, Inc. (the “Company”) that he will retire from the Board and will not stand for reelection upon the expiration of his term as a Class III director at the Company’s 2025 Annual Meeting of Stockholders.

Item 8.01 Other Events.

On March 12, 2025, the Board of Directors of Build-A-Bear Workshop, Inc. (the “Company”) declared a quarterly cash dividend of $0.22 per share to be paid on April 10, 2025, to all holders of record of issued and outstanding shares of the Company’s common stock as of the close of business on March 27, 2025.

On March 12, 2025, the Company issued a press release announcing the quarterly dividend. A copy of the press release has been filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
