Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 24, 2025, Sarah Liebel notified the Board of Directors (the “Board”) of Aterian Inc. (the “Company”) of her intention not to stand for reelection at the Company’s 2025 Annual Meeting of Stockholders (the “Annual Meeting”) and to retire from the Board effective as of the conclusion of the Annual Meeting. Ms. Liebel’s decision to retire was for personal reasons in connection with increased responsibilities in her current professional role and is not due to any disagreements with the Company on any matter relating to the Company’s operations, policies or practices.
