Item 7.01. Regulation FD Disclosure

On October 29, 2025, Hennessy Advisors, Inc. issued a press release announcing that it had declared a cash dividend of $0.1375 per share on its common stock. The cash dividend is payable November 26, 2025, to shareholders of record at the close of business on November 12, 2025. A copy of the press release is being furnished as Exhibit 99.1 to this Current Report on Form 8‑K and is incorporated by reference herein.
