Item 2.02 Results of Operations and Financial Condition.

On November 12, 2025, U.S. Energy Corp. (“U.S. Energy” or the “Company”) issued a press release regarding its financial results for the three months and nine ended September 30, 2025. A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K and incorporated into this item 2.02 by reference.
