- [F1]Effective May 1, 2009, the Company appointed Winston C. Yen (the "Reporting Person") as the Company's chief financial officer. As part of compensation for services, the Reporting Person shall receive up to an aggregate of 20,000 shares of common stock of the Company during the term of the agreement. The shares shall vest, and be issued, on a quarterly basis at the rate of 5,000 shares every three calendar months, with the first installment to vest on May 10, 2009. On a post reverse split basis, the number of shares issuable pursuant to the agreement is adjusted to 5,000.
