Item 3.02. Unregistered Sale of Equity Securities.

On September 30, 2014, Lepercq Corporate Income Fund L.P. (the “Partnership”) issued 2,571,757 units of limited partner interest (“OP Units”) upon contribution by Lexington Realty Trust, through Lex GP-1 Trust or Lex LP-1 Trust, its wholly-owned subsidiaries, of a related party advance to the Partnership to settle such advance based on the related party advance balance and OP Unit value as of August 31, 2014. The issuance was exempt from registration pursuant to Section 4(a)(2) of the Securities Act of 1933, as amended.
