On August 28, 2015, Mr. Allen H. Blake provided notice to the Company of his intention to resign his positions as a Director of the Company and of its principal banking subsidiary, First Bank, and as an independent member of the Company's Audit Committee, effective September 1, 2015. There were no disagreements between the Company and Mr. Blake on any matters relating to the Company's operations, policies or practices.

On September 3, 2015, the Company issued a press release announcing the resignation of Mr. Blake, a copy of which is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
