Amendments to Articles of Incorporation or By-Laws; Change in Fiscal Year

On ~~May~~October 2819, 2020, the Board of Trustees ~~(the “Board” and each member thereof, a “Trustee”)~~ of First Trust Senior Floating Rate 2022 Target Term ~~Fund~~ ~~(the “~~Fund”) amended and restated its existing Amended and Restated By-Laws (and as so amended and restated, the “By-Laws”), effective immediately. The By-Laws were revised to provide, among other things, enhancements ~~the~~to ~~ability~~certain toprocedural ~~conduct virtual~~matters ~~shareholder~~related to meetings, ~~revisions~~shareholder tonominations ~~the~~and ~~advance~~shareholder ~~notice provisions~~proposals, anenhanced ~~attendance~~voting standards ~~requirement~~in ~~for~~the aevent ~~shareholder~~of ~~nominee~~a ~~for Trustee~~contested toboard beelection, ~~present at~~ the ~~meeting~~addition atof ~~which~~trustee ~~such~~qualifications, ~~nominee~~the isaddition toof ~~stand~~control ~~for~~share ~~election~~provisions, and other clarifying and conforming amendments.
