Declaration of Dividend

On August 28, 2025, the Company issued a press release announcing that on August 27, 2025, its Board of Directors declared a quarterly cash dividend in the amount of $0.14 per share of common stock payable on September 30, 2025, to the shareholders of record at the close of business on September 15, 2025. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference, including the cautionary language regarding forward-looking statements.
