Item 2.02			Results of Operations and Financial Condition.

On August 6, 2025, BGSF, Inc. (the "Company") issued a press release regarding its financial results for the second fiscal quarter ended June 29, 2025. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

The Company is making reference to non-GAAP financial information in the press release and the related conference call, and a reconciliation of GAAP to non-GAAP results is provided in the press release.
