- [F1]The Reporting Person is the sole shareholder of Long Sunny Limited, a majority shareholder of Shengkai Innovations, Inc. (the "Company") that owns 17,400,000 shares of the Company's common stock. The Reporting Person's beneficial ownership is based upon his 100% interest in Long Sunny Limited.
- [F2]This option (the "Option") was issued pursuant to the Company's 2010 Incentive Stock Plan and the Nonstatutory Stock Option Agreement dated as of June 22, 2010 and amendment dated September 22, 2010 thereto (collectively, the "Agreement"). The Option shall become exercisable during the term of the Reporting Person's employment in three equal annual installments of 50,000 shares each, the first installment to be exercisable on the first anniversary of the date of grant, and each subsequent installment on every anniversary thereof.
- [F3]The Reporting Person is the husband of Ms. Guo Wei, who is a director of the Company and holds an option to purchase 100,125 shares of the Company's common stock. Accordingly, the option to purchase 100,125 shares of common stock is indirectly beneficially attributed to the Reporting Person.
