Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On May 6, 2015, the Company’s Board of Directors elected Thomas E. Nelson as a Director of the Company. Mr. Nelson is the husband of the Company’s President, Chief Executive Officer, and Secretary, Ms. Lisa Nelson. In addition, The Board of Directors approved the issuance of 2,000,000 shares of the Company’s Common Stock to Mr. Nelson for his past services to the Company.

Mr. Nelson is the Founder, President and Managing Partner of Ten Associates, LLC and has over twenty years of experience in providing services to participants in U.S. domestic capital markets.

Prior to his work at Ten Associates, LLC, Mr. Nelson had prior employment with the Wells Group, RCG Capital Markets and Windstone Capital Partners where he provided investor relations and merchant banking services. Prior to this work, Mr. Nelson had prior affiliations with Merrill Lynch, Morgan Stanley, and American Express Financial Advisors.

Mr. Nelson took his B.S.B.A. Degree in Marketing and Public Relations from the University of Arizona.

Item 7.01 Regulation FD Disclosure

On May 6, 2015, the Company’s Board of Directors elected Thomas E. Nelson as a Director of the Company. Mr. Nelson is the husband of the Company’s President and Chief Executive Officer, Lisa Nelson. In addition, The Board of Directors approved the issuance of 2,000,000 shares of the Company’s Common Stock to Mr. Nelson for his past services to the Company.

The Company is a small company with limited managerial and financial resources and the Company is subject to market, regulatory, and competitive pressures over which it has little or no control.
