ITEM 1.01 Entry Into a Material Definitive Agreement.

On February 22, 2024, flooidCX Corp. (“FLCX”), a Nevada corporation, entered into a cross licensing agreement with Quantum Energy, Inc. and Inductance Energy Corporation. The cross license granted to FLCX the rights to make use of a portion of the Direct Energy System Technology, which is necessary for the production and distribution of photo voltaic equipment ( silicon, lithographic, etc.) photon lighting systems and energy storage systems, including batteries and capacitors. This use includes the production and sale of equipment as well as the right to conduct installation of products using that technology.
