a) Resignation of

On November 25, 2024, William Regan, Chief Financial Officer, resigned as the Chief Financial Officer. Mr. Regan’s resignation was not the result of any disagreement between him and the Company, Board of Directors, or any committee of the Board of Directors of the Company on any matter.
