Item 2.02. Results of Operations and Financial Condition

On April 24, 2018, Charter Financial Corporation (the "Company"), the holding company of CharterBank, issued an earnings release announcing its financial results for the second quarter ended March 31, 2018. The text of the press release is included as Exhibit 99.1 to this report. The information included in the press release text is considered to be “furnished” under the Securities Exchange Act of 1934.

Item 8.01. Other Events

On April 24, 2018, the Board of Directors of Charter Financial Corporation declared an increased quarterly cash dividend of $0.085 per share. The dividend is payable on May 24, 2018, to stockholders of record as of May 10, 2018. A press release announcing the details of the declaration is filed herewith as Exhibit 99.2.
