- [F1]The reported shares were bought by the reporting person ("Mr. Weinman") for two of his children, son and daughter, on August 19, 2010 and August 23, 2010, respectively. At present time, none of these two children are deemed to share the same household as the reporting person.
- [F2]On January 26, 2011, Weinman GeoScience, Inc. distributed all of its 295,809 shares as a dividend pro rata to its shareholders Mr. Weinman and his wife, Jane Weinman ("Mrs. Weinman"), whose share ownership increased as a result of the distribution by 147,905 shares and 147,904 shares, respectively, as follows: (i) for Mr. Weinman, from 67,500 shares (direct ownership as reported on Form 4 filed on January 14, 2011) to 215,405, and (ii) for Mrs. Weinman, from 67,500 shares (indirect ownership as reported on Form 4 filed on January 14, 2011) to 215,404. The distribution was exempt from Section 16 of the Exchange Act pursuant to Rule 16a-9 thereunder. As previously reported on Form 4 filed on January 14, 2011, the 67,500 shares held by Mr. Weinman as well as the 67,500 shares held by Mrs. Weinman are subject to GGS' standard vesting requirements.
- [F3]The reported shares, for a total of 36,000 shares, were donated equally by Mr. Weinman and Mrs. Weinman, from the vested pool of shares, in equal tranches of 9,000 shares to their four children. None of these four children are deemed to share the same household as the reporting person.
- [F4]The reporting person disclaims beneficial ownership of these securities, and this report shall not be deemed an admission that the reporting person is the beneficial owner of such securities for Section 16 purposes or for any other purpose.
