- [F1]On March 15, 2023, the reporting person was granted performance-based restricted stock units (PSUs) subject to the satisfaction of specified performance criteria as of December 31, 2024. The reported amount represents the number of PSUs earned by the reporting person on January 17, 2025, upon certification by the Compensation Committee of the Issuer's Board of Directors of the satisfaction of specified performance criteria. Each PSU represents a contingent right to receive a share of common stock. These PSUs vested 50% on January 17, 2025, and the remaining 50% shall vest on December 31, 2025, subject to the reporting person's continuous service through the vesting period.
- [F2]On July 24, 2023, the reporting person was granted performance-based restricted stock units (PSUs) subject to the satisfaction of specified performance criteria as of December 31, 2024. The reported amount represents the number of PSUs earned by the reporting person on January 17, 2025, upon certification by the Compensation Committee of the Issuer's Board of Directors of the satisfaction of specified performance criteria.
