Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 8, 2025, Jack Lazar notified the board of directors (the “Board”) of ThredUp Inc. (the “Company”) of his intent to resign from the Board, effective at the conclusion of the Company’s 2025 Annual Meeting of Stockholders on May 21, 2025 (the “2025 Annual Meeting”). Mr. Lazar will continue to serve as a director until the 2025 Annual Meeting and his decision to resign was not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Company thanks Mr. Lazar for his service and guidance for the past seven and a half years and wishes Mr. Lazar the very best.
