Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On January 29, 2016, iTalk Inc. (the “Company”) determined to change its fiscal year from ending on August 31 to ending on December 31 of each year. The Company’s report covering the transition period will be filed on a Form 10-Q.
