Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 20, 2020, Judith Hammerschmidt resigned from the Board of Directors (the “Board”) of Notis Global, Inc., a Nevada corporation (the “Company”). Ms. Hammerschmidt resigned solely for personal reasons and did not resign as a result of any disagreement with the Company on any matter relating to its operations, policies or practices.

On March 25, 2020, Ned Siegel also resigned from the Board. Mr. Siegel resigned solely for personal reasons and did not resign as a result of any disagreement with the Company on any matter relating to its operations, policies or practices.
