The Options shall be exercisable with respect to 1,500,000 Option Shares immediately upon the grant thereof and the remaining 2,000,000 Option Shares shall become exercisable in 12 equal quarterly installments thereafter on the final day of each fiscal quarter, in each case, so long as the Grantee's service with the Company or a subsidiary is not interrupted or terminated on each such date.
