Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Effective November 6, 2022, Apurva Dhruv resigned as Chief Executive Officer, Chairman of the Board of Directors, and from all other employee or officer positions held with Verus International, Inc. (the “Company”) and its subsidiaries, regardless of whether he served in such capacity. Mr. Dhruv’s resignation was not the result of any disagreement with the Company, any matter related to the Company’s operations, policies, practices, the Company’s management, the Company’s Board, or otherwise.
