Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 16, 2024, Dr. David Hough, chief medical officer of PaxMedica, Inc., a Delaware corporation (the “Company”), provided notice of his resignation as an executive officer of the Company. Dr. Hough’s decision to resign from the Company was made in connection with his retirement.
