Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 13, 2024, James Donegan and Sandra Williams delivered their resignations as members of the Company’s Board of Directors, effective immediately. These resignations were not a result of disagreements with the Company or the Board on any matter relating to the Company’s operations, policies or practices or any other matter.
