Item 2.02

Results of Operations and Financial Condition.

On November 14, 2024, Pioneer Power Solutions, Inc. (the “Company”) issued a press release announcing its financial results for the quarter ended September 30, 2024, and provided a business update. A copy of this press release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.

In accordance with General Instruction B.2 of Form 8-K, the information in this Current Report on Form 8-K, including Exhibit 99.1, that is furnished pursuant to this Item 2.02 shall not be deemed to be “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, and shall not be incorporated by reference into any registration statement or other document filed under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.

Item 8.01

Other Events.

The Company also announced in the same press release that it declared a one-time special cash dividend of $1.50 per share of common stock. The special dividend will result in an aggregate distribution of approximately $16.5 million based on the current number of shares outstanding. The dividend will be paid on January 7, 2025, to stockholders of record as of December 17, 2024. The dividend will be funded with the proceeds from the sale of the Company’s Electrical Infrastructure Equipment segment.
