No consideration was paid in connection with the transaction reported herein.
- [F2]One Class B ordinary share is held of record by Sunorange Limited, which received such share in the Sponsor Distribution. Sunorange Limited is the general partner of the Sponsor, which still beneficially owns such Class B Ordinary Share. The Class B ordinary share is convertible into Class A ordinary share on a one-for-one basis, subject to certain adjustment, automatically upon the Issuer's initial business combination, or earlier at the election of the holder, and has no expiration date.
