Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 6, 2025, John Saharek ceased serving as President and Chief Executive Officer of ImprimisRx, LLC and certain affiliated entities, each of which is a wholly owned subsidiary of Harrow, Inc. (the “Company”), effective that date. Mr. Saharek has transitioned to a non-officer leadership role at the Company and will no longer be involved in the operations of ImprimisRx. No new compensatory arrangements were entered into with Mr. Saharek in connection with this transition.

On October 6, 2025, the Company issued a press release announcing leadership changes at ImprimisRx.
