Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 3, 2025, Jennifer Chao resigned from the Board of Directors of Protagenic Therapeutics, Inc. (the “Company”), effective immediately. There were no disagreements between Ms. Chao and the Company.
