James R. Scott, Jr. obtained an indirect, reportable beneficial ownership interest in the shares held of record by JS Investments Limited Partnership upon his appointment in November 2025 as the Managing General Partner of such partnership, following the resignation from such role of James R. Scott. The partnership continues to hold such shares directly, and James R. Scott, Jr. previously held only partnership interests that had no voting or dispositive power over the shares held directly by the partnership.
