Item 8.01. Other Events

On December 7, 2018, Cadence Bancorporation announced that it had received regulatory approval from the Federal Reserve required to complete the transactions contemplated by the Agreement and Plan of Merger between State Bank Financial Corporation and Cadence Bancorporation dated May 11, 2018 (the "Merger Agreement"). Consummation of the merger is subject to the satisfaction or waiver of the closing conditions described in the Merger Agreement.
