("UBNK") and People's United Financial, Inc. ("People's United"), in exchange for 0.875 shares of common stock of People's United ("People's United Common Stock") per share of common stock of UBNK, with cash payable in lieu of any fractional shares. As a result of the merger, the reporting person no longer beneficially owns directly or indirectly any shares of issuer common stock.
