Item 2.02 Results of Operations and Financial Condition.

On August 7, 2025, Quanterix Corporation (“Quanterix”) issued a press release announcing its financial results for the second quarter ended June 30, 2025 (the “Earnings Release”). A copy of the Earnings Release is furnished as Exhibit 99.1 and is incorporated herein by reference.

Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On and effective as of August 5, 2025, the Board of Directors (the “Board”) of Quanterix approved and adopted amended and restated bylaws (the “Restated Bylaws”) to implement a majority voting standard for uncontested director elections (in place of a prior plurality standard). The Restated Bylaws provide that in an uncontested election a director nominee shall be elected to the Board only if the votes cast for such nominee’s election exceed the votes cast against such nominee’s election. In a contested election (as defined in the Restated Bylaws), directors shall continue to be elected by a plurality of the votes cast.
