Item 7.01	Regulation FD Disclosure.

CPM Holdings, Inc. is considering options to refinance its existing indebtedness. The Company expects to begin discussions with third parties relating to potential refinancing transactions in the near term. The Company can provide no assurance regarding the terms of any such refinancing transactions or that any refinancing transactions will occur.
