Item 1.01 Entry into a Material Definitive Agreement

On March 29, 2016 the Company’s subsidiary Retail Energy Corp. (“REC”) announced that its agreement to acquire a lease for an operating gas station and retail store in central Florida will not be proceeding.

The seller of the lease was not able to provide adequate financial information for the Company to complete its diligence review.
