Item 2.02.	Results of Operations and Financial Condition

On November 14, 2013, Tyco International Ltd. (“Tyco”) announced that it recorded equity losses related to the results of Atkore International Group Inc. (“Atkore Group”) of $30 million for the three months ended September 27, 2013 and $48 million for the fiscal year ended September 27, 2013, in each case reflecting the impact of $21 million representing Tyco's share of impairment charges recognized by Atkore International Holdings Inc. ("Atkore"). Atkore Group owns 100% of the outstanding capital stock of Atkore. The loss recorded by Tyco is based on, among other things, Atkore’s actual net income or loss, as well as Tyco’s proportionate ownership interest in Atkore Group, which is subject to adjustment from time-to-time.
