- [F1]This Form 3 is filed on behalf of Peter Kiewit Sons', Inc., a Delaware corporation ("PKS") and Kiewit Finance Group Inc., a Delaware corporation and wholly-owned subsidiary of PKS (the "Company" and together with PKS, the "Reporting Persons").
- [F2]On 12/01/2011, the Company accepted for purchase in a tender offer 10,641.845 limited partnership units of Kiewit Investment Fund LLLP (the "Fund"), no par value (the "Units"), at a price per Unit of $2,007.49, which is equal to $2,042.49, the net asset value per Unit as of 11/30/2011 minus $35 per Unit. The transaction is more fully described in the Tender Offer Statement on Schedule TO and the Transaction Statement on Schedule 13e-3 filed by the Company with the Securities and Exchange Commission on 11/01/2011, as subsequently amended. The Company purchased the Units on 12/01/2011. The Company is a wholly-owned subsidiary of PKS. By reason of the provisions of Rule 16a-1 of the Securities Exchange Act of 1934, as amended, PKS may be deemed to be the beneficial owner of any securities deemed to be beneficially owned by the Company. PKS disclaims beneficial ownership of all Units except to the extent of any indirect pecuniary interest therein.
