- [F1]Represents long-term incentive partnership units ("LTIP Units"), a class of units of Empire State Realty OP, L.P. (the "Operating Partnership"), of which Empire State Realty Trust, Inc. (the "Company") is the sole general partner. The LTIP Units are convertible by the reporting person, upon vesting, into an equivalent number of units of limited partnership interest ("OP Units") in the Operating Partnership, which are redeemable by the holder for shares of Class A Common Stock of the Company on a one-for-one basis or the cash value of such shares, at the Company's option. The right to convert LTIP Units into OP Units and redeem OP Units does not have an expiration date. The LTIP Units, which vest ratably on each of the first three anniversaries of May 15, 2020, were granted under the Empire State Realty Trust, Inc. Empire State Realty OP, L.P. 2019 Equity Incentive Plan.
