- [F1]Effective December 14, 2018, MTM Center GmbH transferred all of its 13,500,000 shares to Alex Schmidt for no consideration. Prior to this transfer, Mr. Schmidt owned 51% of MTM Center GmbH which gave him indirect beneficial ownership of 6,885,000 of the shares held by MTM Center GmbH. Mr. Schmidt now directly owns all 13,500,000 shares that were previously owned by MTM Center GmbH. Maksim Goncharenko, who owned 49% of MTM Center GmbH, agreed to the transfer as a settlement of a dispute. In addition, Mr. Schmidt continues to indirectly beneficially own 6,750,000 shares of the 13,500,000 shares held by TOR Biologos GmbH.
