- [F1]On August 20, 2014, pursuant to an amended and restated employment agreement dated August 20, 2014, effective July 1, 2014, the Issuer issued restricted stock grants to the Reporting Person to acquire up to 25,174,888 shares of restricted common stock. Subject to the terms and conditions of the employment agreement, such shares vest in 25% increments each of the initial two years following the effective date of the agreement and the remaining 50% vesting three years following the effective date of the agreement.
